Digital Wallet Terms of Use for Customers of Zum Rails Inc.

1. Introduction
These terms of use constitute a legal agreement between the cardholder ("You" or "Cardholder") and Zum Rails Inc. ("Zum Rails") that governs your access to and use of any eligible Zum Rails prepaid card ("Card") when you add, use, or remove a card in a digital wallet ("Wallet") via a respective compatible device ("Device"). It is important that you read and understand these terms of use, as you will indicate your acceptance of these terms of use when you register for a digital wallet or apply to obtain one or more cards to use through the services offered by Zum Rails.
By accepting these terms of use, you consent to the collection, use, and disclosure of your personal information as described in the Zum Rails Privacy Policy and in Section 9 (Privacy) below.
2. Applicable Documents and Agreements
Cardholder Agreement
The use of a Card with a Wallet is governed by your Card Agreement with Zum Rails and by any other applicable terms and policies between the Holder and Zum Rails (collectively, the "Card Agreement"). The Holder understands and agrees that all terms of their Card Agreement, if applicable, form an integral part of these Terms of Use. Any reference to the "Card" in your Card Agreement includes the digital card contained in your Wallets. In the event of a conflict between these Terms of Use and the applicable Card Agreement, these Terms of Use shall prevail to the extent necessary to resolve the conflict.
Wallet Agreements
Your use of the wallet and associated services may be governed by or subject to agreements or terms of use entered into with Zum Rails in its capacity as wallet provider.
3. Use of Cards in a Wallet
If you wish to add a card to a wallet, you must follow the adopted procedures, instructions provided by Zum Rails, and any other procedures adopted by Zum Rails. You understand that we cannot add a card to a wallet if we cannot verify your information or identity, if your account is not in good standing, or if we otherwise suspect there may be fraud associated with your card or wallet.
Zum Rails may allow you to make purchases with a card added to your wallet wherever the corresponding payment method is accepted. It is possible that the payment method in question may not be accepted everywhere your card is accepted.
4. Removal of Your Card
Zum Rails may prohibit cooking a card to a wallet, remove, suspend, or cancel your access to a wallet at any time, if we cannot verify the card, if we suspect fraud associated with the card or wallet, if your account is not in good standing, if applicable law changes, or for any other reason determined by Zum Rails in its sole discretion. You may suspend, remove, or reactivate a card from a wallet by following Zum Rails' suspension, removal, or reactivation procedures. In certain circumstances, your card may be suspended or removed from your wallet by Zum Rails.
5. Maximum Dollar Limit for Transactions
MasterCard, Zum Rails, or participating Merchants may, in their discretion, set from time to time a transaction limit that can be made with a specific Wallet. Different limits may be set for each Wallet. Consequently, you might not be able to use a card linked to a Wallet to complete a Transaction, even if you meet the eligibility criteria for that Wallet.
6. Applicable Fees
Adding a card to a wallet is free of charge. Please refer to your card agreement for applicable fees, interest, and other charges for your card. Your mobile operator or service provider, or other third parties, may charge you service fees related to your use of your respective device or payment method.
7. Security Requirements
You must contact us immediately in the event of loss or theft of your card, your device, or if your account is compromised or you have suspicions that it is. If you report your card lost or stolen, you can continue to make transactions with a wallet on your device, unless you ask us to suspend your service on that wallet. If you report your device lost or stolen, you can continue to make transactions with your card. If you purchase a new device, be sure to delete all your cards and other personal information from the old compatible device.
You are required to contact us immediately in the event of an error or suspected fraud with your card. We will correct any potential errors or fraudulent purchases in accordance with your card agreement, if applicable.
You agree to protect and keep confidential your device and your user ID and/or any password (including any biometric authentication information) and all other information necessary to make purchases with your card through a wallet. If you share this information with others, they can access the wallet and make purchases with your card or obtain your personal information.
In addition to your efforts to secure your credentials, we take reasonable steps to ensure the security of the information we transmit to third parties as a result of using a card in a wallet. Zum Rails disclaims all liability in the event of a security breach affecting information stored or sent by a third party.
You are prohibited from using a wallet on a device that you know or have reason to believe has compromised security or integrity (for example, if the device has been "rooted" or if its security mechanisms have been bypassed). You will be solely responsible for losses, damages, and expenses resulting from using the wallet on a compromised device.
8. Liability for Loss
Subject to applicable law, the cardholder is liable for all transactions and all incurred interest, fees, or losses made using your card or through a wallet if you do not comply with the obligations described in the "Security Requirements" section until we receive written or verbal notice from you in accordance with that section.
Zum Rails will not be liable for losses you suffer, except as set out in these Terms of Service or specifically described in your Card Agreement, or otherwise provided by applicable law.
9. Privacy
Applicable to all wallets
You agree that your personal information will be processed in accordance with your request to use the product and the Zum Rails Privacy Policy, available online at www.zumrails.com/privacy-policy. This policy describes:

iii. Who we may share your information with (they may be located outside your province or Canada)
iv. Your privacy rights and choices, such as opting out of marketing communications, including personalized marketing offers and communications from Zum Rails and trusted partners.
Zum Rails may share with or receive from third parties information that may be reasonably necessary to determine your eligibility, enrollment, and use of the respective wallet and any wallet features you may select (for example, your name and card details such as card number and expiration date) and for purposes such as detecting and preventing fraud (for example, notifying wallet providers if you notify Zum Rails of a lost or stolen device).
Applicable to Apple Pay and Samsung Pay wallet providers
Zum Rails may aggregate your information with other information or anonymize it, and may use this aggregated or anonymized information for the purposes set out in our privacy policy or in our respective wallet agreements, terms of use, or service. While your transactions may be processed or displayed through a wallet, Zum Rails does not allow third parties to view, use, or store your transaction details, including your most recent transactions if this feature is enabled.
Applicable to the Google Pay wallet provider
Zum Rails shares certain Google Pay transaction information with Google for each card added to Google Pay in order to display your transaction history and facilitate your participation in Google Pay. Additionally, Google may use your Google Pay transaction information in an aggregated or anonymized form to analyze performance and improve Google Pay. The Google Pay transaction information shared by Zum Rails with Google will not be used by Google to serve you targeted ads or offers. Google may collect additional transaction information, account information, and other personal information from third parties, including merchants, and combine it with information obtained from your use of other Google services to display your transaction history and improve your Google Pay experience. 10. No Warranty and Exclusion of Liability
For the purposes of this section, "Zum Rails" means Zum Rails, its agents, subcontractors, distributors, channel partners, and associated service providers, as well as each of their subsidiaries. All parties mentioned in the preceding sentence are third-party beneficiaries of this section. The provisions of this section shall survive the termination of these Terms of Use.
Zum Rails is not responsible for the use or function of the wallet. You acknowledge and agree that Zum Rails makes no representations, warranties, or conditions of any kind relating to the Wallets, and in particular: (a) Zum Rails does not warrant the operability or functionality of a Wallet, or that a corresponding Wallet will be available to make a Transaction; (b) Zum Rails does not warrant that any particular merchant will be a Participating Merchant at which a Wallet is available; (c) Zum Rails does not warrant that a Wallet will meet your requirements or that its operation will be uninterrupted or error-free; and (d) Zum Rails does not warrant the availability or operability of the wireless networks of any Device. If you have a physical Card, you may want to consider keeping it on you to use in case you are unable to complete a Transaction through a Wallet.
Zum Rails shall have no liability whatsoever in connection with a wallet, including, without limitation, in connection with the sale, distribution, or use thereof, or the performance or non-performance of the wallet, or any loss, injury, or inconvenience you suffer.
11. Changes to the Terms of Use
We may amend, permanently or temporarily, any provision of these Terms of Use or replace them with another agreement at any time. We will notify you in writing of any changes, as well as any other information required by law, at least 30 days before the change indicated in the notice takes effect, by any means permitted by applicable law, including by posting on www.zumrails.com/legal. You may refuse the amendment by terminating these Terms of Use without fee, penalty, or cancellation indemnity by ceasing your use of a wallet within 30 days of the date the amendment takes effect.

If you have any questions, disputes, or complaints regarding a wallet, you should contact the relevant provider.
13. Definitions
In these terms of use,
Cardholder: means the primary holder of any Zum Rails prepaid card;
Cardholder Agreement: means the agreements governing the prepaid card account associated with your Zum Rails prepaid card, as they may be updated, enhanced, or modified by Zum Rails from time to time;
Zum Rails, we, our, or us means Zum Rails Inc. and its subsidiaries;
Service Agreement: means the agreements governing the prepaid card account associated with your Zum Rails prepaid card, as they may be updated, enhanced, or modified by Zum Rails from time to time;
Compatible Device: means any device, including but not limited to computers, mobile phones, digital tablets, wearable devices, virtual headsets and devices, televisions, refrigerators, thermostats, and cars, which is supported by a wallet provider to successfully and legally process and complete transactions;
Participating Merchant: means a merchant that allows customers to make transactions using a wallet;
Zum Rails Prepaid Card Agreement: means the agreements governing the prepaid card account associated with your Zum Rails prepaid card, as they may be updated, enhanced, or modified by Zum Rails from time to time;
Transaction: means any credit, debit, or prepaid transaction completed using a wallet, including any transaction completed by any authorized Zum Rails credit card user;
User ID: means any information relating to successfully logging into a wallet;
Wallet: means an independent or standalone digital service provided by a third party that helps facilitate the successful processing and completion of payments and transfer of funds via a compatible device;
You or your: means each cardholder.
